Terms of Service

You accept these terms by creating an account or a workspace, or by using the service. If you accept for an organization, you confirm you have authority to bind it, and "you" means that organization.

The Acceptable Use Policy and the Refund Policy are part of these terms. The Privacy Policy explains how we handle personal information. A signed order form for an Enterprise plan takes precedence over these terms where the two conflict.

shiftlabs is for business and professional use. You must be at least 18 years old.

We may change these terms. For a material change we give at least 30 days' notice by email or in the dashboard before it takes effect. Continuing to use the service after that date means you accept the change.

Give accurate sign-up information and keep it current. Sign-in requires a second factor; keep yours safe.

Each account can create one workspace and becomes its admin. Admins invite members and choose their roles. You are responsible for everything done by your members and with your API keys.

If you think someone has used your account, a member's account or an API key without permission, revoke the access and email legal@shiftlabs.org.

No charge and no card. The limits are on the pricing page. We may change the Free plan's limits or features; changes are posted there.

A monthly subscription at the price on the pricing page. It includes a monthly allowance of runs and outbound requests; usage past the allowance is charged at the published overage rates, up to the spending limit an admin sets. The subscription is charged at the start of each billing period, and overage at the end of the period it was used in.

Prices, volumes and extra terms are set in a signed order form.

Payments are handled by our payment processor; we never see or store full card numbers. You authorize us to charge your payment method for fees as they fall due. Prices exclude taxes; you pay any sales, use or similar taxes that apply.

If a payment fails, we retry it and tell you. If it still hasn't been paid 7 days later, the workspace moves to the Free plan's limits until it is.

We give at least 30 days' notice of a price change. It applies from your next billing period after the notice ends.

Admins can cancel Pro at any time from billing settings. Pro stays active until the end of the period you have paid for, then the workspace moves to Free. Fees are not refunded; the Refund Policy has the details and exceptions.

Your content is your workflow code, webhook payloads, secrets, vars, connections, logs and everything else you or your workflows send to shiftlabs. You keep all rights to it.

You give us permission to host, copy, run, transmit and display your content only as needed to provide and secure the service, to give you support, and to meet legal obligations.

You confirm you have the rights and permissions your content needs, including any personal information in it, and that your workflows comply with the law and with the terms of every service they call.

Your workflows make HTTP requests on your behalf. Each request carries a header naming your workspace's reference and our abuse contact, so the receiving service can reach us. You are responsible for those requests and for holding the credentials and permissions they use.

If you send us ideas or suggestions, we may use them without any obligation to you.

Follow the Acceptable Use Policy. Don't try to get around limits, access other customers' data, or interfere with the service.

Every plan has limits, enforced automatically. Requests past a limit are refused.

We improve and change shiftlabs over time. If we remove a feature you pay for in a way that materially reduces the service, we will tell you in advance where we reasonably can.

We work to keep shiftlabs available, but Free and Pro come without an uptime commitment. Enterprise uptime commitments, if any, are in the order form.

shiftlabs, its software, documentation and brand belong to us. These terms give you the right to use the service; they don't transfer any ownership. The SDKs we publish are licensed under the terms that come with them.

We may suspend a workspace, stopping its runs and refusing its webhooks, if it breaks these terms or the Acceptable Use Policy, puts the service or others at risk, has unpaid fees, or if the law requires it. Where practical, we tell you first and give you a chance to fix the problem.

You can stop using shiftlabs at any time. To have a workspace deleted, an admin emails privacy@shiftlabs.org.

We may end these terms for your workspace if you materially breach them and don't fix it within 14 days of our notice, or right away for serious or repeated violations of the Acceptable Use Policy. We may also stop offering shiftlabs with 30 days' notice; if we do, we refund prepaid fees for the unused part of the period.

Until a workspace is deleted you can export your content through the API. After deletion, data that is kept for a limited time expires as described in the Privacy Policy.

Fees owed, your responsibility for content, the disclaimers, the liability limits, the indemnity and the general terms continue after these terms end.

Except as stated in an Enterprise order form, the service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error-free, or that a run or outbound request will always complete.

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the greater of the amount you paid us in the 12 months before the claim and US $100. These limits don't apply to your payment obligations or your indemnity.

You will defend and indemnify us against third-party claims arising from your content, your workflows and the requests they make, or your breach of these terms or the Acceptable Use Policy, and pay the resulting costs, damages and reasonable legal fees.

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Disputes are heard exclusively in the state or federal courts located in Michigan, and both parties consent to their jurisdiction.

Don't use shiftlabs where US export or sanctions laws prohibit it, or if you are a person those laws restrict.

You may not transfer these terms without our written consent, except to a successor of your business. We may transfer them to an affiliate or a successor of ours.

These terms, with the documents they name, are the whole agreement about shiftlabs. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
